Transaction Strategy Development
The first step to a successful transaction is to develop a strategy. The BDC team has been involved in hundreds of business transactions and can help you develop and can critically evaluate your strategy for transactions. Additionally, we will help you ensure that your transaction strategy is consistent with the overall direction of your business, thereby, increasing the probability of success.

Target Identification
The BDC team has access to research tools that allow us to facilitate the identification of potential targets. We will use the transaction strategy to narrow down the search and will focus our target identification efforts on high potential opportunities. BDC will help you identify potential targets as well as determine the attractiveness and fit of the target.

Due Diligence
Due diligence is the most onerous and important steps in a transaction. You need to attempt to verify that what is being represented by the other party is fact. Our team has extensive experience in due diligence. We can provide you outlines to facilitate your own due diligence, or we can conduct due diligence for you.

BDC can also help you get your house in order so that you will pass the scrutiny of other party's due diligence process. Additionally, we will also help you conduct your due diligence on the other party in the transaction. This process may include: interviewing management, reviewing accounting and tax records, reviewing contracts and agreements, and reviewing and examining other important company information.

Ultimately, the information collected during due diligence will support: negotiating strategy and position, structure for the deal, integration assessment, identification and clarification of possible synergies, valuation and bid price, financial viability of target, and legal risks and liabilities determination.

Valuation
A valuation determines the fair market value for all or for a portion of a business. Our goal is to estimate what a willing, informed buyer would pay for the interest being valued. The determination of value will allow you to understand the market value of the business as well as the potential synergies that might impact the price that a buyer will pay for your company or that you would pay for another company. The BDC team will apply our knowledge of business valuation to help you maximize your value from the transaction.

Deal Process Management / Negotiations
Even simple transactions can be very complicated. They require a significant amount of cross-functional expertise and deep knowledge of the tax consequences and legal implications of different deal structures.
